Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Studio by Habitat website and workspace at studio.habitatdelhi.com (“Studio”) and related services provided by Habitat Design and Arts Pvt Ltd, Delhi, India (“Habitat”, “we”, “us”). By creating an account, signing in, or otherwise using Studio, you agree to these Terms. If you do not agree, do not use Studio.
1. Description of service
Studio by Habitat is a client workspace that helps property owners, occupiers, and project stakeholders plan, organize, track, and decide on architectural, interior, and built-environment projects. Features may include project tracking, document management, budgets, shortlists, site visits, snagging, reports, and related collaboration tools.
2. Eligibility and accounts
- You must be at least 18 years old and capable of entering into a binding contract to use Studio.
- You may sign up using a valid email address or a supported third-party identity provider (e.g. Google). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You agree to provide accurate, current, and complete information, and to update it promptly if it changes.
- You may not create accounts by automated means, misrepresent your identity, or use another person's account without permission.
3. Acceptable use
You agree not to use Studio to:
- Violate any applicable law, regulation, or contractual obligation.
- Infringe intellectual property rights or misappropriate confidential information.
- Upload or distribute malware, spam, or other harmful or disruptive content.
- Harass, abuse, or discriminate against any person or entity.
- Attempt to gain unauthorized access to Studio, its infrastructure, or other users' accounts.
- Interfere with the operation, security, or performance of Studio.
- Scrape, monitor, or copy data from Studio by automated means without our written consent.
We may suspend or terminate access for conduct that violates these rules or that otherwise creates legal risk or harm.
4. Client projects and content
- Your content — You retain ownership of drawings, documents, photos, comments, and other materials you upload to Studio. You grant us a limited license to host, process, display, and transmit your content solely as needed to operate your workspace and provide our services.
- Responsibility — You are responsible for the accuracy, legality, and appropriateness of your content and for ensuring you have the right to share it with collaborators you invite.
- Confidentiality — We treat project information as confidential and will not use it for purposes outside operating Studio, except with your consent or as required by law. This does not replace any separate confidentiality or non-disclosure agreement you may have with Habitat.
5. Intellectual property
Studio, its software, designs, user interface, text, graphics, and other materials are owned by Habitat or its licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or create derivative works of our platform or its content without our written permission. The Habitat and Studio by Habitat names and marks are trademarks of Habitat Design and Arts Pvt Ltd.
6. Fees and payment
Certain features or services may require payment. Fees, billing cycles, and refund terms will be presented at the time of purchase or in a separate agreement. Unless otherwise stated, fees are non-refundable and billed in advance. We may change pricing for future periods with reasonable notice.
7. Termination
You may stop using Studio and request deletion of your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay amounts due, or if continued provision is unlawful or impractical. Upon termination, your right to use Studio ceases immediately, but provisions related to confidentiality, intellectual property, liability, and dispute resolution survive.
8. Disclaimers
Studio is provided on an “as is” and “as available” basis. We do not warrant that the service will be uninterrupted, error-free, or completely secure. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Habitat and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of or inability to use Studio. Our aggregate liability for any claim relating to Studio shall not exceed the amount paid by you to us in the twelve months preceding the event giving rise to liability, or INR 10,000 if no payment has been made.
10. Indemnification
You agree to indemnify and hold harmless Habitat and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your content, your use of Studio in violation of these Terms, or your violation of any third party right.
11. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or your use of Studio shall be subject to the exclusive jurisdiction of the courts in Delhi, India. We encourage you to contact us first to seek an informal resolution before initiating any formal proceeding.
12. Changes to these terms
We may revise these Terms from time to time. Material changes will be notified through the platform or by email. Continued use of Studio after the changes take effect constitutes acceptance of the revised Terms. The “Last updated” date above indicates when this version took effect.
